The Terms are an electronic record and generated by a computer system; it does not require any physical or digital signatures for its acceptance by You. By clicking on ‘Agree’ and/or by using www.limitlessquant.com/ You are agreeing to and accept these Terms.

Limitless Quant/Solvendo (India) Pvt. Ltd reserves the right to stipulate Terms that might be in addition and/or in replacement of these Terms from time to time. We shall seek Your confirmation in such case, to enable Your use of the platform.

Your agreement with us includes these Terms and our Privacy Policy (collectively referred to as “Agreements”)

By clicking on “Agree” and/or by using Limitless Quant - You acknowledge that You have read and understood the Terms and Agreements (including the Privacy Policy) and agree to be bound of them.

If You do not agree with (or cannot comply with) the Agreements, then You must not proceed, use the Service or click on Agree. We request You to contact us via email at info@solvendo.io in order to enable us to explore a solution to Your disagreement.

These Terms apply to all visitors, users and others who wish to access or use our Service.

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

Account comprises of username, password and other user information.

Affiliate means an entity that controls, is controlled by or is under common control with a party. "Control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority(s).

Billing means payment to be made by subscribers in favor of availing Services of Limitless Quant.

Billing Cycle means payment to be made by subscribers in favor of availing the Services of Limitless Quant on a recurring and periodic basis.

Country refers to: India.

Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to “Limitless Quant”. Limitless Quant is a division of Solvendo.io/global. It is situated in India and offers its products and Services for the market in India.

Data means a representation of information, knowledge, facts, concepts or instructions which are being prepared or have been prepared in a formalised manner, and is intended to be processed, is being processed or has been processed in a computer system or computer network, and may be in any form (including computer printouts magnetic or optical storage media, punched cards, punched tapes) or stored internally in the memory of the computer;

Data Science Engine is the capability of Limitless Quant, by itself or through its affiliates and/or assigns to use algorithms and technology, to extract and produce useful insights from raw data;

Device means any device that can access the Service, viz. a computer, a cell phone or a digital tablet.

Information means data, message, text, images, sound, voice, codes, computer programmes, software and data bases or microfilm or computer-generated micro fiche;

Intellectual Property Rights means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world.

Service(s) refers to the services provided by the Limitless Quant.

Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Limitless Quant regarding the use of the Service. The Terms and Conditions also include the Privacy Policy, a link for which has been provided in these Terms and Conditions.

Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

Platform refers to Limitless Quant, accessible from www.limitlessquant.com/

You means the individual accessing or using the Service for and on behalf of the body corporate, limited liability partnership firm, partnership firm, sole proprietorship and/or any such entity, as applicable.

If You create an account on the Limitless Quant, You will be allotted a secure username and password. You are responsible for the safety and security of Your username and password and responsible for maintaining the security of Your account. You are fully responsible for all activities that occur under the account and any other actions taken in connection with it.

Solvendo.io/india is an AI enabled platform that brings value to the process of restructuring and bankruptcy using its unique process, architecture, technology, data tools and data science engines. Limitless Quant is a platform for the purpose of Your use and efficiency. Limitless Quant makes best efforts to ensure accuracy of the information and reports provided and/or generated by its technology and Data Science Engine. Limitless Quant does not warrant the efficacy and/or accuracy of the information and/or reports generated and/or provided by Limitless Quant. You and anyone acting and/or claiming under You shall be responsible for Your/their actions including for such actions that You/they might take or cause to be taken based on information and/or reports generated and/or provided by Limitless Quant.

Limitless Quant requests You to ensure that You and/or those acting and/or claiming under You shall state as a condition precedent that Limitless Quant does not warrant either the efficacy and/or accuracy of the information and/or reports generated and/or work-product and/or Services provided by Limitless Quant

Providing false contact information of any kind may result in the termination of Your account.

You must immediately notify us of any unauthorized use(s) of Your account or any other breaches of security with respect to Your account.

We will not be liable for any acts or omissions by You, including damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete Your account (or any part thereof) if we determine that You have violated any provision of this Agreement or that Your conduct or content would tend to damage or bring disrepute us and/or affect our reputation and/or goodwill.

You automatically and immediately agree to all the Terms and Conditions. If at any time You do not accept or agree with any of the Terms and Conditions or do not wish to be bound by the Terms and Conditions, You may not access, browse or use the Limitless Quant, use and/or have access to its Services. You must in such event immediately terminate Your availing the Services of Limitless Quant.

Accepting or agreeing to the Terms and Conditions (that includes the Privacy Policy) will constitute a legal contract (hereinafter Agreement) between You (acting as the authorized representative of the body corporate, limited liability partnership firm, partnership firm, sole proprietorship and/or any such entity) and Limitless Quant. It shall bind You, the body corporate and/or limited liability partnership firm and/or partnership firm and/or sole proprietorship and/or any such entity that You represent and Limitless Quant.

Limitless Quant reserves it rights to bill/charge You for its Services; some parts of the Services that includes information and reports provided by Limitless Quant shall be billed either as a one-time fee or shall be billed on a subscription basis (referred to also as 'Subscription(s)').

Subscription(s)

In the event You sign up for a Subscription with Limitless Quant, You may, depending on Your Subscription, be billed in advance and/or on a recurring and/or on a periodic basis (referred to also as 'Billing Cycle'). Billing cycles will be set depending on the type of plan You select when purchasing a Subscription.

At the end of each Billing Cycle, Your Subscription will automatically renew under the exact same conditions unless You cancel it and/or Limitless Quant cancels it. You may cancel Your Subscription renewal either through Your online account management page or by contacting Limitless Quant customer support team.

Payment Methods

Limitless Quant will utilize the Services of a payment gateway to enable process of payment for Your Subscription(s) or one-time payment. You shall provide Limitless Quant with accurate and complete billing information that includes but is not limited to full name, address, state, postal or zip code, telephone number, and a valid payment method information. By submitting such payment information, You automatically authorize Limitless Quant to charge all fees including Subscription Fees incurred through Your account to any such payment instruments.

Should automatic billing fail for any reason, Limitless Quant reserves the right to terminate Your access to the Service with immediate effect.

By using our Limitless Quant, You agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, You may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at info@solvendo.io.

If You wish to purchase any Service made available through Limitless Quant You may be asked to provide certain information relevant to Your Purchase including but not limited to, Your credit or debit card number, the expiration date of Your card and Your billing address.

You represent and warrant that: (i) You have the legal right and authority to use any card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information You provide to us is true, correct and complete.

We may employ the use of third party Services for the purpose of facilitating payment and the completion of Purchases. By submitting Your information, You grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel Your order if fraud or an unauthorized or illegal transaction is suspected.

Solvendo.io may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ('Free Trial').

You may be required to enter Your billing information in order to sign up for Free Trial.

If You do enter Your billing information when signing up for Free Trial, You will not be charged by Limitless Quant until Free Trial has expired. On the last day of Free Trial period coming to an end, unless You have cancelled Your Subscription, You will be automatically charged the applicable Subscription fees for the type of Subscription You have selected.

At any time and without notice, Limitless Quant reserves the right to (i) modify Terms of Service of Free Trial offer, or (ii) cancel such Free Trial offer.

Limitless Quant in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Limitless Quant will provide You with a reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.

Your continued use of the Platform after Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.

In the event of a one-time payment; the same is not refundable. In case of a Subscription(s) You are entitled to cancel the subscription. In the event Limitless Quant determines You have not used any part of the Subscription You would be entitled for a refund to the extent You have not used the Subscription. Limitless Quant shall at its discretion decide issues related to unused Subscription.

By using this Platform, You are granted a limited, non-exclusive, non-transferable right to use the information and/or information on Limitless Quant. You may not copy, reproduce, transmit, distribute, or create derivative works of such information and/or information without the express written authorization from Limitless Quant.

This Agreement does not transfer to You any intellectual property owned by the Limitless Quant. All rights, titles, and interests will remain the exclusive property of Limitless Quant and its licensors. All trademarks, Service marks, graphics, logos, visual interfaces, graphics, design, compilation, information, computer code (including source code and object code), products, software, Services, and all other elements used in connection with Limitless Quant, reports/work product produced by Limitless Quant, information collected/normalized/analyzed by Limitless Quant and Services, are property/trademarks/ registered trademarks of Limitless Quant and/or its licensors and/or its assigns. The said Services are protected by relevant copyright, trade, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Your use of the Limitless Quant and its Services grants You no right or license to reproduce or otherwise use any of the trademarks of Limitless Quant. You agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Materials. Limitless Quant reserves all rights not expressly granted in this Agreement.

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Platform

If You are a copyright owner and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit Your claim via email to info@solvbendo.io with the subject line: “Copyright Infringement” and include in Your claim a detailed description of the alleged Infringement.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad-faith claims on the infringement of any Content found on and/or through the Platform on Your copyright.

Our Service may contain links to third-party web sites or Services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or Services. You further acknowledge and agree that Limitless Quant shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or Services available on or through any such web sites or Services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or Services that You visit.

Limitless Quant is not responsible for any damages resulting from use of this Platform by anyone. You will not use the Platform for illegal purposes. You will:

Abide by all applicable local, state, national, and international laws and regulations in your use of Limitless Quant (including laws regarding intellectual property).

Not engage, directly or indirectly, in transmission of 'spam', chain letters, junk mail or any other type of unsolicited communication.

Not interfere with or disrupt the use and enjoyment of the Limitless Quant by other users.

Not defame, harass, abuse, or disrupt other users and constituents of Limitless Quant.

Not impersonate or attempt to impersonate Limitless Quant, employees of Limitless Quant, another user, or any other person or entity.

Not in any way infringe upon the rights of others or engage in activity that is in any way illegal, threatening, fraudulent, or harmful.

Not use Limitless Quant in any manner that could disable, overburden, damage, or impair its Service(s) or interfere with any other party’s use of Limitless Quant and/or its Service, including their ability of such third parties to engage in real time activities through Service.

Not use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.

Not use any device, software, or routine that interferes with the proper working of Limitless Quant or its Service.

Not introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

Not attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.

Not take any action that may damage or falsify Company rating.

Not otherwise attempt to interfere with the proper working of Limitless Quant or its Service.

Not forge headers or manipulate identifiers or other data in order to disguise the origin of any content transmitted through Limitless Quant or to manipulate and/or mask your presence on Limitless Quant.

Sell services being offered by Limitless Quant, data and/or information and/or software and/or derivatives of the services, data, information, software belonging to of Limitless Quant.

Not commit breach of this Agreement, or any other agreement or policy as may be applicable pursuant to the Terms and Conditions.

Not avail the Services of Limitless Quant with funds that may be qualified as potentially fraudulent funds; such qualification shall be the discretion of Limitless Quant.

Not use the Services of Limitless Quant in a manner that results in or may result in complaints, disputes, reversals, chargebacks, fees, fines, penalties and other liability to Limitless Quant, a third party or You.

Not use the Services of Limitless Quant in a manner that Limitless Quant or any payment card network reasonably believe to be an abuse of the payment card system or a violation of payment card network rules.

Without prior approval and express written permission of Limitless Quant, you may not create frames around our Web pages or use other techniques that alter in any way the visual presentation or appearance of Limitless Quant.

You will release, indemnify, defend and hold harmless Limitless Quant, its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorneys' fees and expenses, of third parties relating to or arising out of (1) this Agreement or the breach of your warranties, representations and obligations under this Agreement; (2) your use of Limitless Quant and/or the data/information/content on Limitless Quant; (3) the Products and/or your use of the Products (including Trial Products) of Limitless Quant; (4) any claim and/or issue pertaining to intellectual property or proprietary rights of any person or entity; (5) your violation of any provision of this Agreement; or (6) any data/information you supplied to Limitless Quant; or (7) analysis of the data/information and/or any report and/or prediction and/or prescription suggested by Limitless Quant

If and when Limitless Quant and/or its affiliates and/or parent company is threatened with suit or sued by a third party, Limitless Quant may seek written assurances from you concerning your promise to indemnify Limitless Quant and/or such persons related to Limitless Quant; your failure to provide such assurances may be considered by Limitless Quant to be a material breach of this Agreement. Limitless Quant will have the right to participate in any defense by you of a third-party claim related to your use of any of Limitless Quant, its content or Products, with counsel of Limitless Quant’s choice. Limitless Quant will reasonably cooperate in any defense by you of a third-party claim at your request and expense. You will have sole responsibility to defend Limitless Quant, its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorneys' fees and expenses, but you must receive Limitless Quant’s prior written consent regarding any related settlement. The terms of this provision will survive any termination or cancellation of this Agreement or your use of the Limitless Quant or Products.

These services are provided by Limitless Quant is on an “AS IS” and “AS AVAILABLE” basis. Limitless Quant makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the data, analysis, information, content, materials and/or report provided/made available on Limitless Quant. You expressly agree that your use of the services, or the data, analysis, information, content, materials and/or report provided/made available on Limitless Quant these services, is at your own risk.

Neither Limitless Quant nor any person associated with Limitless Quant makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the services, or the data, analysis, information, content, materials and/or report provided/made available on Limitless Quant. Without limiting the foregoing, neither Limitless Quant nor anyone associated with Limitless Quant represents or warrants that the services, or the data, analysis, information, content, materials and/or report provided/made available on Limitless Quant is and/or will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes it available are free of viruses or other harmful components or that the services or any services or items obtained through the services will otherwise meet your needs or expectations.

Limitless Quant hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of quality, accuracy, merchantability, non-infringement, and fitness for particular purpose.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

This paragraph shall survive termination of this Agreement.

We/Limitless Quant may terminate or suspend your account and bar your access to Limitless Quant immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms of this Agreement or the Data Policy of Limitless Quant.

If you wish to terminate your account, you may simply discontinue using Limitless Quant.

All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Limitless Quant may provide You with notices and communications by e-mail, SMS, push notifications, regular mail or postings on Limitless Quant or by any other reasonable means. Except as otherwise set forth herein, notice to Limitless Quant must be sent by courier or registered mail to to info@solvendo.io.

The failure of Limitless Quant to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by Limitless Quant.

If any dispute, controversy or claim arises under this Agreement or in relation to any Limitless Quant including any question regarding the existence, validity or termination of this Agreement or Terms and Conditions (hereinafter Dispute), the parties shall use all reasonable endeavors to resolve such Dispute amicably.

If the parties are unable to resolve the Dispute amicably within 30 days of the notice of such Dispute, Limitless Quant may elect to resolve any Dispute by a binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996 (hereinafter Act). Such Dispute shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party.

The Dispute shall be resolved by a sole arbitrator, appointed in accordance with the Act. The seat of the arbitration shall be Mumbai and the language of this arbitration shall be English.

Either You or Limitless Quant may seek any interim or preliminary relief from a court of competent jurisdiction in Mumbai necessary to protect the rights or the property belonging to You or Limitless Quant (or any of our agents, suppliers, and subcontractors), pending the completion of arbitration. Any arbitration shall be confidential, and neither You nor Limitless Quant may disclose the existence, content or results of any arbitration, except as may be required by law or for purposes of enforcing the arbitration award. All administrative fees and expenses of arbitration will be divided equally between You and Limitless Quant. In all arbitrations, each party will bear the expense of its own lawyers and preparation. This paragraph shall survive termination of this Agreement.

Subject to the Dispute Resolution section above, You agree that any claim or dispute You may have against Limitless Quant must be resolved by a court of competent jurisdiction in Mumbai, India. You agree to submit to the personal jurisdiction of the courts located within Mumbai, India, for the purpose of litigating all such claims or disputes. This Agreement shall be governed by the law of India. This paragraph shall survive termination of this Agreement.

If any provision of this Agreement is held to be unlawful, void, invalid or otherwise unenforceable, then that provision will be limited or eliminated from this Agreement to the minimum extent required, and the remaining provisions will remain valid and enforceable.

This Agreement is the entire agreement between You and Limitless Quant relating to the subject matter hereof and this Agreement will not be modified except by a change to this Agreement made by Limitless Quant in accordance with the terms of this Agreement.
